Acceptance of terms
This website is operated by Nextal Solutions inc. ("Nextal", "we"). By accessing the website or using the platform and services offered on it (the "Service"), you agree to be bound by these terms of service ("Terms"), together with the policies referenced herein, including our privacy policy. If you do not agree to these Terms, do not use the Service. If you use the Service on behalf of an organisation, you represent that you are authorised to bind it. You further represent that you are at least the age of majority in your province or state of residence.
Description of the service
Nextal provides a cloud-based recruiting (ATS) and human-resources (HRIS) platform. Access, features and volumes are set out in your agreement or order form. Any new feature added to the Service is also subject to these Terms.
Accounts and security
You are responsible for keeping your users’ credentials confidential and for activities under your account. You agree to notify us promptly of any unauthorised use. You must not transmit viruses, worms or any code of a destructive nature.
Acceptable use and prohibited uses
You agree to use the Service in accordance with applicable laws. In particular, you may not use it: for any unlawful or unauthorised purpose; to violate laws or regulations; to infringe the intellectual-property rights of others; to harass, abuse, defame or discriminate; to submit false or misleading information; to upload malicious code; to collect others’ personal information without right; to spam, phish, scrape or harvest data; or to circumvent the security features of the Service. You also agree not to reproduce, copy, sell, resell or exploit any part of the Service without our written permission. Any breach of these Terms may result in immediate termination of your access.
Subscription, pricing and billing
Subscription, renewal, pricing and billing terms are defined in your subscription agreement. Unless stated otherwise, fees are payable in advance and non-refundable for the current period. You agree to provide accurate, current account and billing information. We reserve the right to refuse or cancel an order and to change our pricing; price changes are governed by your agreement.
Modifications to the service
We reserve the right, at any time, to modify or discontinue the Service (or any part of it). We will not be liable to you or any third party for any modification, suspension or discontinuance of the Service, subject to the commitments set out in your agreement.
Customer data
Your data and that of your candidates and employees belongs to you. Nextal processes it solely to provide the Service, in accordance with our privacy policy, acting as a processor on your behalf. You may export your data during the subscription term.
Personal information
Your submission of personal information through the website and platform is governed by our privacy policy, which we encourage you to review.
Intellectual property
The Service, its code, brand and content remain the exclusive property of Nextal. Nothing in these Terms grants you any right to these elements other than the right of use provided by your subscription.
Third-party tools and integrations
The Service may provide access to third-party tools or integrations (for example Google) that we do not control. They are provided "as is" and "as available", without warranty. Your use is at your own risk and subject to the relevant third party’s terms.
Third-party links
Certain content or links may direct you to third-party sites that are not affiliated with Nextal. We are not responsible for their content or practices, and encourage you to review their own terms and policies.
Feedback and submissions
If you send us comments, ideas or suggestions, you agree that we may use them without restriction or compensation, and with no obligation of confidentiality. We may, but are not obligated to, moderate or remove any content we consider inappropriate. Your submissions must not infringe any third-party right or contain malicious code; you are solely responsible for them.
Accuracy of site information
Information on the site is provided for general information and should not be the sole basis for a decision. The site may contain historical information, provided for reference. The site may contain errors or omissions, which we reserve the right to correct at any time, without notice. We have no obligation to update this information, except as required by law.
Availability, warranties and limitation of liability
The Service is provided "as is" and "as available". We do not warrant that it will be uninterrupted, timely, 100% secure or error-free, nor that the results obtained will be accurate or reliable. We may occasionally suspend the Service for maintenance. To the extent permitted by law, Nextal and its directors, employees, suppliers and licensors shall not be liable for any indirect, incidental, punitive or consequential damages (including lost profits, revenue or data); and our total liability is limited to the amount paid for the Service in the preceding twelve months.
Indemnification
You agree to indemnify and hold harmless Nextal, its affiliates, officers, employees and suppliers from any claim, including reasonable attorneys’ fees, arising from your breach of these Terms or the documents they incorporate, or your violation of any law or third-party rights.
Termination
Obligations and liabilities incurred before the termination date survive termination. These Terms remain effective until terminated by you or us, as set out in your agreement. If you breach any of these Terms, we may terminate the agreement; you remain liable for all amounts due up to the termination date.
Severability and entire agreement
If any provision of these Terms is found unlawful or unenforceable, it shall be severed without affecting the validity of the remaining provisions. These Terms, together with the policies we post, constitute the entire agreement between you and us and supersede any prior agreement. Our failure to exercise a right does not constitute a waiver of that right.
Governing law
These Terms are governed by the laws in force in the province of Québec and the applicable federal laws of Canada, without regard to conflict-of-law rules.
Changes to the terms
We may update or replace any part of these Terms by posting changes on the website. The update date below indicates the version in force; it is your responsibility to review this page periodically. Your continued use of the Service constitutes acceptance of the changes.
